These Legal Agreements and Terms of Service (“Agreements”) constitute a binding legal contract between Autorys LLC, a Wyoming Limited Liability Company (Filing ID: 2026-001947770, EIN: 38-4393837), with its registered office at 30 N Gould St, Ste N, Sheridan, WY 82801, United States (“Autorys”, “we”, “us”, or “our”), and the individual or business entity accessing or using our websites, platforms, software systems, APIs, and digital infrastructure (“Client”, “you”, or “your”).

By accessing or using any Autorys websites, digital platforms, and domains (including autorys.com, autorys.online, autorys.net, autorys.info, and associated subdomains), multi-tenant CRM platforms, artificial intelligence agents, cloud hosting, or domain services, you agree to be legally bound by these Agreements. If you do not agree, do not access or use the Services.

1. Definitions

  • “Autorys LLC” means Autorys LLC, a company organized under the laws of the State of Wyoming, USA.
  • “Client”, “you”, “your” means the person or legal entity entering into this Agreement.
  • “Services” means the suite of digital solutions provided by Autorys, including the multi-tenant CRM platform, artificial intelligence workflows, cloud hosting, domain management, web design, and systems infrastructure.
  • “Customer Content” means all data, text, communications, files, and materials uploaded or submitted to the Services by Client or Client’s end users.
  • “Order” means any online purchase, subscription plan, statement of work, or service invoice.

2. Scope of Services

Autorys provides enterprise-grade digital systems engineering and cloud software solutions, including:

  • Multi-Tenant CRM & Platform: Cloud-based customer relationship management, contact consolidation, sales pipelines, and business administration tools.
  • Artificial Intelligence Operations: Conversational agents, multi-channel messaging integrations (WhatsApp, Telegram, live web chat), automated follow-ups, and autonomous workflows.
  • Cloud Infrastructure & Web Hosting: High-availability managed servers, virtual hosts, SSL certificates, and enterprise email mailboxes.
  • Domain Name Registration: Domain purchasing, DNS management, and lifecycle renewal as an authorized domain partner.
  • Web Engineering & Systems Design: Custom application development, design architecture, and API integrations.

3. Eligibility and Account Security

You represent and warrant that you possess full legal power and authority to enter into these Agreements. If using the Services on behalf of an entity, you represent that you have authority to bind that entity. You are solely responsible for safeguarding credentials, configuring multi-factor authentication (MFA) where available, and immediately reporting any suspected security compromise to security@autorys.com.

4. Artificial Intelligence Services and Disclaimers

Our AI capabilities utilize advanced machine learning algorithms and probabilistic models to generate automated text, recommendations, and workflows. When using our AI services, the following terms apply:

  • Informational Use Only: Outputs generated by AI systems are provided “as is” for operational assistance. AI outputs do not constitute licensed legal, accounting, tax, or medical advice. Client remains solely responsible for reviewing and verifying all outputs prior to taking business-critical actions.
  • Customer Data Ownership & Non-Training Pledge: Client retains full ownership of Customer Content. Autorys LLC does NOT sell customer communications or utilize private customer conversation data to train publicly accessible foundation models.
  • Acceptable AI Use: Client agrees not to use AI agents for deceptive impersonation, unlawful surveillance, generating fraudulent or defamatory content, automated harassment, or distributing unauthorized spam.

5. Domain Name Registrations (ICANN Consensus Policies)

Domain registrations and renewals brokered through Autorys are subject to the consensus policies of the Internet Corporation for Assigned Names and Numbers (ICANN), the respective Top-Level Domain (TLD) registry operators, and the Uniform Domain-Name Dispute-Resolution Policy (UDRP):

  • WHOIS / RDAP Accuracy: Client represents that all registrant contact information provided is true, accurate, and current. Submitting willfully false contact information constitutes a material breach and grounds for domain suspension or cancellation under ICANN regulations.
  • Lifecycle and Expirations: Domain names are registered for fixed term periods and renew on a recurring basis. Autorys is not liable for domain expiration, third-party acquisition, or registry redemption fees resulting from delinquent payments, expired payment methods, or missed renewal deadlines.
  • Non-Refundable Registry Fees: Registry fees incurred upon successful domain creation or transfer are non-refundable once processed.

6. Cloud Hosting, Server Infrastructure & Acceptable Use Policy (AUP)

All hosting, server, and storage resources provided by Autorys must be used strictly for lawful commercial purposes. Client agrees not to use hosting or infrastructure services to:

  • Launch Denial-of-Service (DDoS) attacks, unauthorized network scans, or penetration tests against third-party networks;
  • Distribute computer viruses, ransomware, trojans, or malicious software;
  • Operate cryptocurrency mining scripts, open proxies, or illicit peer-to-peer file-sharing nodes;
  • Host phishing pages, fraudulent storefronts, or content that infringes third-party intellectual property rights;
  • Transmit unsolicited commercial bulk email (SPAM) or violate CAN-SPAM / international anti-spam regulations.

Immediate Suspension: Autorys reserves the right to immediately suspend or terminate any hosting account or server instance involved in malicious cyber activity without liability or refund.

Data Backups: Unless an Order explicitly includes managed backup and disaster recovery services, Client maintains sole responsibility for executing independent off-site backups of website files, databases, and application data.

7. Fees, Subscriptions, Renewals, and Taxes

Services are billed in U.S. Dollars (USD) according to the pricing published or specified in an Order. Subscription services automatically renew for successive terms unless canceled prior to the renewal date. Client is responsible for all applicable sales, use, value-added (VAT), or withholding taxes levied by taxing authorities. Except where required by applicable law or under an explicit written warranty (such as our 7-day initial service guarantee), fees paid are non-refundable once services are provisioned.

Renewal notice and cancellation. When subscribing, the Client expressly authorizes the recurring charges after being informed of the amount, frequency and billing date. Autorys sends an email notice at least 7 calendar days before each automatic renewal. The Client may cancel at any time, with no penalty, from their CRM (My plan) or by writing to billing@autorys.com; cancellation is confirmed immediately, prevents the next charge, and the service remains active until the end of the period already paid.

Invoicing and accounting tools. Tax, withholding and report calculations and the accounting assistant are support tools and their figures are estimates. The Client is solely responsible for reviewing its invoices, filing its returns and paying its taxes on time; Autorys is not liable for fines, surcharges or omissions before tax authorities.

Consumers in Mexico. If the Client is a consumer in the United Mexican States, it retains the non-waivable rights granted by the Mexican Federal Consumer Protection Law and other Mexican laws, and may file complaints with the Federal Consumer Protection Agency (PROFECO). The choice of Wyoming law does not limit those rights.

8. Phone Communications and Call Recording

By giving us your phone number (when you sign up, message us, call us or leave your details with an Autorys sales partner) you authorize us to call you about the services you requested or showed interest in. Calls we make are recorded, with a notice at the start of the call, for quality and service purposes and as a record of what was agreed, as described in our Privacy Policy. You may withdraw this permission at any time by saying so during a call or writing to privacy@autorys.com.

9. Intellectual Property

Autorys LLC and its licensors retain all right, title, and interest (including copyright, trademark, patent, and trade secrets) in and to the Services, multi-tenant CRM codebase, application architecture, AI frameworks, and brand assets (“Autorys IP”). Client is granted a limited, non-exclusive, revocable, non-transferable license to access and use the Services during the term of the applicable Order. Client retains all rights in Customer Content.

10. Warranties and Disclaimers

EXCEPT AS EXPRESSLY PROVIDED IN A WRITTEN ORDER, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. AUTORYS LLC DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AUTORYS DOES NOT WARRANT THAT THE SERVICES WILL BE ENTIRELY UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AUTORYS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOSS OF REVENUE, PROFITS, BUSINESS REPUTATION, GOODWILL, OR DATA, ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE SERVICES.

AUTORYS LLC’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE AGREEMENTS SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY CLIENT TO AUTORYS IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Governing Law, Jurisdiction & Dispute Resolution

These Agreements, and any dispute, controversy, claim, or litigation arising out of or relating to them or the Services, shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict-of-law principles.

Both parties irrevocably consent and submit to the exclusive personal jurisdiction and venue of the state and federal courts located in the State of Wyoming, USA for the resolution of any action or proceeding arising under this Agreement.

13. Severability and Modifications

If any provision of these Agreements is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect. We reserve the right to modify these Agreements at any time by updating this page with a revised date. Continued use of the Services following notice of changes constitutes acceptance of the revised Agreements.
